Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of TikTak ("the Service"), operated by Ronin Software, Hoogstraat 36, 2000 Antwerpen, Belgium (BTW BE0777.257.634) ("we", "us", "our").

By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Service description

TikTak is a cloud-based time-tracking and invoicing platform for freelancers and small teams. The Service includes time logging, customer management, invoice creation and delivery, PDF and Excel exports, e-invoicing (Factur-X, UBL/Peppol), and integrations with third-party accounting software.

The Service is available as a web application and as a mobile application for Android and iOS.

3. Account registration

To use TikTak, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the accuracy of your account information
• Keeping your login credentials secure
• All activity that occurs under your account

You must be at least 16 years old to use the Service. Accounts are for individual use; each person should have their own account.

4. Plans and pricing

TikTak offers the following plans:

• Free — up to 5 customers, up to 5 services, 3 invoices per month, unlimited time tracking. No credit card required.
• Pro — €9 per month. Unlimited customers, services, and invoices. PDF and Excel exports. Email invoice delivery. All integrations included.

New Pro accounts receive a 14-day free trial. We reserve the right to change pricing with 30 days’ notice. Price changes do not apply retroactively to the current billing period.

5. Payment and billing

Pro subscriptions are billed monthly via Stripe. By subscribing, you authorise Stripe to charge your payment method on a recurring basis.

• Payments are due at the start of each billing period.
• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• We do not provide refunds for partial billing periods.
• If payment fails, we may suspend access to Pro features after a reasonable grace period.

All prices are in euros and exclusive of VAT where applicable. VAT is charged in accordance with Belgian and EU tax regulations.

6. Your data

You retain full ownership of all data you enter into TikTak, including time entries, customer information, invoices, and attachments ("Your Data").

By using the Service, you grant us a limited, non-exclusive, worldwide licence to process, store, and transmit Your Data solely for the purpose of providing and improving the Service. This licence terminates when you delete your account.

You may export Your Data at any time using the built-in export tools (PDF, Excel, UBL XML). We will not hold your data hostage.

7. Intellectual property

The Service, including its source code, design, branding, documentation, and all related materials, is owned by Ronin Software and protected by copyright and intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own business purposes in accordance with these Terms.

You may not copy, modify, distribute, reverse-engineer, or create derivative works of the Service or any part of it.

8. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Transmit malware, spam, or other harmful content
• Attempt to gain unauthorised access to the Service or its infrastructure
• Scrape, crawl, or use automated means to access the Service without our permission
• Interfere with or disrupt the Service or impose an unreasonable load on our infrastructure
• Impersonate another person or misrepresent your affiliation
• Use the Service to store or transmit content that infringes third-party rights

We reserve the right to suspend or terminate accounts that violate these terms.

9. Third-party integrations

TikTak offers integrations with third-party accounting services (Billit, QuickBooks, Xero, Sage, Zoho Books) and email-based forwarding to various accounting tools. These integrations are:

• User-initiated — you choose which integrations to connect and when to sync data.
• Governed by third-party terms — your use of each integration is also subject to that provider’s terms of service and privacy policy.
• Disconnectable — you can disconnect any integration at any time in your settings.

We are not responsible for the availability, accuracy, or practices of third-party services. We do not guarantee that integrations will be available indefinitely, as they depend on third-party APIs that may change.

10. Availability and support

We aim to keep TikTak available 24/7, but we do not guarantee uninterrupted service. Downtime may occur for maintenance, updates, or due to circumstances beyond our control.

We provide support via email at hello@tiktakme.com. We will make commercially reasonable efforts to respond promptly, but we do not offer guaranteed response times or a formal SLA.

11. Limitation of liability

To the maximum extent permitted by law:

• Our total aggregate liability to you for any claims arising from or related to the Service is limited to the total amount you paid us in the 12 months preceding the claim, or €50, whichever is greater.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill.
• We are not liable for any loss or damage arising from your use of third-party integrations.

These limitations apply regardless of the legal theory (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

12. Warranty disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will meet your specific requirements, be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

13. Indemnification

You agree to indemnify, defend, and hold harmless Ronin Software, its owner, and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• The data you enter into the Service, including customer data and invoice content

14. Termination

By you: You may cancel your account at any time through your account settings or by contacting us. Cancellation of a Pro subscription takes effect at the end of the current billing period.

By us: We may suspend or terminate your account if you materially breach these Terms. Where possible, we will provide 14 days’ written notice and an opportunity to cure the breach before termination. We may terminate immediately without notice in cases of fraud, abuse, or illegal activity.

15. After termination

Upon termination or cancellation:

• You will have 30 days to export Your Data using the built-in export tools.
• After the 30-day export window, we will permanently delete Your Data from our systems, except where retention is required by law.
• Sections of these Terms that by their nature should survive termination (liability, indemnification, governing law) will remain in effect.

16. Feedback

If you provide us with suggestions, feature requests, or other feedback about the Service, you grant us a non-exclusive, royalty-free, perpetual, irrevocable, worldwide licence to use, modify, and incorporate that feedback into the Service without any obligation or compensation to you.

17. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of Belgium, without regard to conflict-of-law principles.

Any disputes arising from or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Antwerp, Belgium.

Nothing in these Terms affects your statutory rights as a consumer under applicable EU or Belgian consumer protection law.

18. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you by email at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree with the changes, you may cancel your account before the new terms take effect.

19. General

• Entire agreement — these Terms and our Privacy Policy constitute the entire agreement between you and Ronin Software regarding the Service.
• Severability — if any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.
• Waiver — failure to enforce any provision does not constitute a waiver of that provision.
• Assignment — you may not assign your rights under these Terms without our consent. We may assign our rights in connection with a merger, acquisition, or sale of assets.
• Force majeure — we are not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, war, pandemics, or infrastructure failures.
